You are unable to open Access 97 file in Access 2000? Does this help http://support.microsoft.com/kb/248894
I am not aware of any other app that can edit Access db design.
How to attach file: http://www.accessforums.net/showthread.php?t=70301 To provide db: copy, remove confidential data, run compact & repair, zip w/Windows Compression.

vba behind a form is design/maintenance in my view.
I'm not aware of any third party tool. AS June said you should be able to open 97 in acc2000.
